General
RPS, LLC operates https://timelycontract.com (the “Site”). This page informs you of our terms and conditions of use for this site, and policies regarding the collection, use, and disclosure of Personal Information we receive from users of this Site. By using this Site, you agree to our terms and conditions of use and our collection and use of information in accordance with these policies.
RPS, LLC is not a law firm and does not employ lawyers. RPS, LLC connects homebuyers and sellers with up to three TC Certified® attorneys licensed in the jurisdiction of the real property in an arms-length transaction. TC Certified attorneys are attorneys with five or more years of experience in real estate law and trained in proprietary, branded legal solutions designed to meet the aggressive timelines of the residential real estate contract. TC Certified attorneys reach out within two business days of an Initial Attorney Call request for a no-obligation discussion. Homebuyers and sellers choose the attorney with whom they wish to work.
TC Certified attorneys are independently owned and operated businesses separate from RPS, LLC. TC Certified attorneys are not employees, partners, or joint venturers with RPS, LLC. RPS, LLC does not control the attorneys’ work, and we do not share profits or losses with them. Attorneys pay RPS, LLC, a one-time referral fee upon their receipt of an Initial Attorney Call request from a homebuyer or seller.
Your relationship with a TC Certified attorney is a matter of contract between you and them. RPS, LLC is not a party to that contract or a third-party beneficiary of it. Users of our site pay nothing to RPS, LLC for the attorney referral.
RPS, LLC cannot and does not certify or guarantee any results from your use of them to reach your goals. The service RPS, LLC provides is a narrowing of the field of possible real estate attorneys to three attorneys licensed in the jurisdiction of the property. Shopping for legal counsel is now fast, simple, and usually within the time periods of your transaction calendar due to your use of Timely Contract.
We Are Not Lawyers
RPS, LLC is not a law firm. RPS, LLC does not give legal, business, or tax advice. Representatives of RPS, LLC are either not lawyers or are not acting in a legal capacity if they are lawyers. RPS, LLC representatives do not give legal, business, or tax advice. Further, our site is not a substitute for the advice or services of an attorney licensed in the state, county, parish, federal enclave, or Indian reservation where the property is located. If you need legal advice and RPS, LLC has TC Certified attorneys in the jurisdiction where the property is located, you are advised to consult those TC Certified attorneys about your transaction.
This Site Does Not Give Legal Advice
The application of law to specific facts is a unique and personal matter, and no general information found on this website can give you actionable and reliable legal advice. Further, the law is different from state to state and may be subject to differing interpretations by different courts. If you need legal advice, you should consult a licensed attorney in your state, whether through our site or by another means. Our site does not create an attorney-client relationship between you and a TC Certified attorney. Your use of our site does not, and will not in any circumstance, create an attorney-client relationship between you and us. We are a lawyer referral service. By referring you to independent attorneys, we hope to give you the chance to avoid costly mistakes resulting from avoidable legal problems that may occur during your real estate transaction.
TC Certified Attorneys
Our site is one among many sources of attorneys available to you. You may wish to consider multiple sources of attorney referrals when making an attorney selection decision. RPS, LLC cannot guarantee that the real estate attorney referrals provided will meet your specific goals for your real estate transaction.
Each attorney in our network of TC Certified attorneys has certified to us that they have at least five (5) years of legal practice and experience in the state where they are licensed in the following five (5) areas:
- Easements and Road Agreements
- Deeds including Conditions or Restrictions on Use
- Purchase and Sale Agreements and related contracts
- Title Reports and CC&Rs
- Shared Utility Agreements
After you initiate your Initial Attorney Call request, you are solely responsible for deciding whether the attorneys you are referred to are suitable for the purposes of your unique real estate transaction. The attorneys we refer you to may or may not be the correct legal counsel for you.
Further, any agreements between you and the independent TC Certified attorney regarding legal services or fees are made outside the scope of our site. Agreements you reach with an attorney are private contracts that do not involve RPS, LLC in any way, and we do not receive copies or have knowledge of them.
RPS, LLC does not receive any portion of any attorney’s or law firm’s fees from your contract with him or her. Upon receipt of your Initial Attorney Call request, that attorney pays us a referral fee for the privilege of receiving our referral. After the Initial Attorney Call request is sent to the TC Certified Attorney, RPS, LLC is not involved in or responsible for the results of the real estate transaction. We do not guarantee that such transactions will close escrow, or, if they close, that the outcomes will be satisfactory to you.
States and jurisdictions, such as tribal lands, have special rules relating to the provision of legal services. You should contact the state or local jurisdiction where the real property is located for more information, or request your TC Certified attorney to include such information in the scope of service for the contract between you and your TC Certified attorney. Simple and clear questions are easier for your legal counsel to address in a timely manner during a live transaction.
No Guarantees or Warranty
For your unique real estate transaction, we make no representation, guarantee, or warranty (express or implied) as to the legal ability, competence, quality, or reliability of any legal services you may be provided through our referral service. The purpose of the Timely Contract system is to narrow the number of attorneys you need to research during the time-constricted calendar of your real estate transaction. Other attorneys may be available, and you are free to do your own research. However, to our knowledge, only TC Certified attorneys have agreed to provide their assistance under time constraints that meet the aggressive time demands of a residential real estate transaction.
Prior to inclusion in our listings, we try to confirm a lawyer’s status with the applicable State Bar; however, we do not perform ongoing reviews of a lawyer’s status, and we do not and have not investigated or vetted the qualifications, experience, or other matters related to the lawyers, law firms, or any legal services, except as stated above. You must independently verify to your satisfaction the qualifications of any such legal professional and the services they provide.
Further, our selection of a participating lawyer as a recipient of your Initial Attorney Call request is not based on our analysis of your potential legal problem or our assessment of the ability of the attorney to resolve your specific legal concern.
RPS, LLC cannot and will not check for conflicts of interest between you and an attorney or any other party(s) to your residential real estate transaction. This is the job of your attorney. You should share the names of other parties to your real estate transaction, so your attorney can check for conflicts of interest.
Use Of Your Personal Information
When creating your Attorney Contact Request, you are required to provide Personal Information, including your name, email address, telephone number, and state and county or parish where the real property is located. After transmitting your Initial Attorney Call request to up to three attorneys selected by you, RPS, LLC retains your Personal Information for analytic purposes only. Any document(s) that you may have uploaded are kept for three days only.
We reserve the right to contact you for quality control purposes within two business days of your Initial Attorney Call request.
Your Personal Information is not used for solicitations like newsletters or advertisements. RPS, LLC shares your Personal Information and uploaded documents with the TC Certified attorney(s) you select, but does not share it with other third parties.
Personal Information passed from the Timely Contract platform to the attorney(s) you selected for an Initial Attorney Call is the duty of that legal practitioner to safeguard. RPS, LLC has no control or responsibility for how secure your information may be once it has been transmitted to the TC Certified attorney. For information about the TC Certified attorneys’ privacy practices, please contact them.
Limitation On Damages
If you create and have us transmit an Initial Attorney Call request, you agree that: IN NO EVENT WILL RPS, LLC BE LIABLE FOR DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, (A) LOST PROFITS OR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE NO-CHARGE, NO-OBLIGATION INITIAL ATTORNEY CALL REQUEST REFERRAL SERVICES, OR (B) FOR ANY ADVICE, INFORMATION OR SERVICES PROVIDED TO YOU BY ANY TC CERTIFIED ATTORNEY WHO CONTACTS YOU AFTER RECEIVING YOUR NO-CHARGE INITIAL ATTORNEY CALL REQUEST, OR (C) FOR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE REAL ESTATE PURCHASE AND SALE AGREEMENT IN WHICH YOU ARE A PARTY OR IN WHICH YOU ARE CONNECTED IN ANY OTHER CAPACITY. TO THE EXTENT THE FOREGOING LIMITATION OF LIABILITY IS LIMITED OR PROHIBITED, OUR SOLE OBLIGATION TO YOU FOR DAMAGES OF ANY TYPE WILL BE LIMITED TO THE REFERRAL FEE PAID TO RPS, LLC BY THE ATTORNEY YOU HAVE CHOSEN.
Our Specific Disclaimers
State attorney licensing requirements differ, and you acknowledge that RPS, LLC makes certain disclaimers about the TC Certified attorneys who receive your Initial Attorney Call request:
- No representation is made that the quality of legal services performed by TC Certified attorneys will be greater than the quality of legal services performed by other lawyers;
- No representation is made that the TC Certified attorney who receives your Initial Attorney Call request is a specialist or may hold a State certification as a specialist in residential real estate transactions;
- No representation is made regarding the quality of the legal services that have been or will be performed by a TC Certified attorney;
- Past results by a TC Certified attorney afford no guarantee of future results; each matter is different and must be handled and judged on its own unique merits;
- The choice and hiring of a TC Certified lawyer is an important decision and should not be based solely upon advertisements, internet reviews, or our referral to a given TC Certified attorney;
- No representation is made regarding the qualifications of TC Certified lawyers, except for the attorney’s representation to RPS, LLC that they are licensed in the jurisdiction of the subject property and have a minimum of five (5) years’ experience in real property law (as stated above) at the time of their application to be a TC Certified Attorney.
- Inclusion in the TC Certified attorney network requires no payment to us by those attorneys. The only payment RPS, LLC receives from TC Certified attorneys is a single fee for each referral passed to them on your initiation of the Initial Attorney Call request. RPS, LLC’s display of TC Certified attorneys to receive an Initial Attorney Call request is the result of the representations of the attorney and involves no evaluative judgment about their work or expertise by RPS, LLC. When a TC Certified attorney is included in our referral network, it does not mean that lawyer is the “best” or “right” lawyer for your needs or that the TC Certified lawyer is otherwise to be preferred over other lawyers. You and the lawyer responding to your Initial Attorney Call request are solely responsible for any contract and the terms of any contract that may result from the initial contact.
- TC Certified attorneys responding to your Initial Attorney Call request pay a referral fee to us that is separate from any fees you may pay them if you decide to hire them.
- States have varying requirements for the certification of lawyers as specialists or experts. We do not check on the existence of any special certifications for any attorney in our network. You must do your own research to determine whether any attorney may be able to meet your needs.
- Any customer review on this website does not constitute a guarantee, warranty, or prediction regarding the outcome of your legal query or matter.
- RPS, LLC recommends anyone considering hiring a lawyer independently investigate the lawyer’s credentials and ability and not rely upon advertisements or self-proclaimed expertise. RPS, LLC narrows the field of available real estate attorneys for you as a service when you are under time pressure, but other capable attorneys may also be available to you.
- Your real estate transaction calendar should control the attorney’s provision of advice and opinions given to you, so that your transaction can remain on track to close escrow with minimal or no interruption. It is your obligation to make sure your attorney has the information he or she needs to stay within the time constraints of your transaction calendar. You are solely responsible for remaining available to your legal counsel when he or she needs to consult with you, and your legal counsel has the sole obligation to remain available to you in a timely manner.
Telephone Recordings
RPS, LLC recommends, but does not require, that attorneys who receive Initial Attorney Call requests record all telephone calls with you. Voice recording of conversations may be regulated by both the state where you are located as well as the state where the attorney is located. Giving notice of whether a call is being recorded should be given by the attorney, and in many states, your consent is required. We recommend you approve call recording, because the speed of a residential real estate transaction, the tight contract calendars, and the detailed nature of legal concerns related to those transactions should be available for your attorney to review later by listening to those recordings to ensure the most accurate counsel is given to you. We also suggest, but do not require, that TC Certified attorneys provide you with copies of those recordings.

Cookies are files with small amounts of data, which may include an anonymous and unique identifier. When you use internet websites, cookies are often sent to your browser and stored on your computer’s hard drive. This site does not use cookies.
Security
Although we take reasonable security measures to keep your Personal Information private, no method of transmission is 100% secure. While we strive to stay current with commercial security standards, we cannot guarantee the security of your Personal Information given to us through this site.
Ownership
The site is owned and operated by RPS, LLC, an Idaho limited liability company. All right, title and interest in and to the materials provided on the site, and to the processes used within it, including but not limited to information, documents, logos, graphics, sounds, and images (the “Materials”) are owned either by us or by our respective third-party authors, developers, or vendors (“Third Party Providers”). Except as expressly allowed by us in writing, none of the Materials may be copied, reproduced, republished, downloaded, uploaded, posted, displayed, transmitted, or distributed in any way and nothing on this site shall be construed to confer any license to you or anyone to use our intellectual property rights, whether by estoppel, implication, or otherwise. We do not sell, license, lease, or otherwise provide any of the Materials other than those specifically identified as being provided by us under a separate written agreement. Any rights not expressly granted herein are reserved by us.
Changes To This Terms, Conditions, and Privacy Policy
If material changes are made to these Terms, Conditions, and Privacy Policy, notification will be found on this page. Check this page periodically for changes. Your use of this website after a change is posted constitutes your acknowledgment of the changes and your consent to abide by and be bound by the modified Terms, Conditions, and Privacy Policy.
